Terms of Service

Effective from 26 October 2026

1. Who we are

These Terms govern the services sold online by VSNX s.r.o., Plzeňská 3352/156, 150 00 Prague 5, Czech Republic, Company ID (IČO) 30162718, Tax ID (DIČ) CZ30162718, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, File 458303 ("we", "us").

Contact: email info@vsnx.cz, telephone +420 774 567 746.

We are not a VAT payer in the Czech Republic.

2. Services

We provide software and connectivity services delivered online on a subscription basis (the "Services"). The main characteristics, price and billing period of each Service are shown on the order page before you pay. The Services are technical services only. You alone decide how you use them and you are responsible for any decision you make while using them.

3. Ordering and contract

You order a Service through our online checkout. The contract is concluded when your payment is confirmed. We send you a confirmation by email. The contract is concluded in English, and we keep it in electronic form.

4. Price and payment

Prices are shown on the order page before you pay, as final prices including any taxes. For subscriptions the price is shown per billing period, and for monthly subscriptions it is the price for one month. Payments are processed by our payment service providers. We do not see or store your full card details.

We may change prices for future billing periods. We notify you by email at least 30 days before the change applies to your subscription, and you can cancel before it takes effect. If a payment fails, we may suspend the Service until it is paid.

5. Delivery

Access to the Service (for example login credentials) is sent to the email address you provide, normally shortly after the payment is confirmed. If you have not received it within 24 hours, please contact us. You must keep your credentials confidential. Activity under your credentials is treated as your activity.

6. Term, renewal and cancellation

Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time by writing to info@vsnx.cz or through the customer portal, if available. Cancellation takes effect at the end of the current billing period, and no further payments are taken. There is no minimum term unless stated on the order page. Apart from the consumer right of withdrawal in section 7 and your rights in case of defects in section 8, fees for a billing period that has started are not refundable.

7. Right of withdrawal for consumers

If you are a consumer, you may withdraw from the contract within 14 days of its conclusion without giving a reason, by sending us a clear statement, for example by email or using the model form below.

When you order, you ask us to start providing the Service immediately, within the withdrawal period. If you then withdraw, you pay a proportional part of the price for the Service provided until we received your withdrawal, and we refund the rest within 14 days, using the same payment method. The right of withdrawal applies to the first contract only, not to later renewals of the same subscription.

8. Defects and complaints

You have the statutory rights in case of defective performance. If the Service does not work as described, write to us at info@vsnx.cz with a description of the problem. We confirm receipt and resolve complaints without undue delay, at the latest within 30 days. Please contact us before disputing a payment with your bank, so that we can solve the problem directly.

9. Intended use and no advice

The Services are designed for data analysis, quantitative research, education, software development and testing. Any other use, including connecting the Services to platforms of third parties, is chosen by you independently and at your sole risk. We do not verify, endorse or support such use, and we are not responsible for its consequences.

The Services are technical services. We do not give advice of any kind and we do not make decisions for you. Any decision you take while using the Services, and its result, is your sole responsibility. If you use the Services together with third party platforms, accounts or software, you are responsible for complying with their rules and terms, and we are not responsible for their availability, conduct or decisions.

10. Availability and liability

We work to keep the Services available and fast, but we do not guarantee uninterrupted or error free operation, or any specific speed or latency, which also depend on networks and systems outside our control. We may carry out maintenance and change technical features, provided the Service keeps its main characteristics.

To the extent permitted by law, our total liability towards business customers is limited to the price paid for the Service in the last three months, and we are not liable for indirect damage, lost profit, lost data or business interruption. Business customers must make any claim within one year from the event that caused it. Nothing in these Terms limits liability that cannot be limited by law, or the rights that consumers have under mandatory law.

11. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, such as failures of telecommunication networks, power or hosting providers, cyber attacks, natural disasters, war, strikes or acts of public authorities.

12. Acceptable use

You may use the Services only lawfully and for yourself. In particular you may not:

If you seriously breach these rules, we may suspend or terminate the Service immediately. A business customer then loses the remaining paid period without refund.

13. Intellectual property

The Services, our software and this website remain our property or the property of our licensors. You receive only a personal, non exclusive and non transferable right to use the Services for the duration of your subscription.

14. Indemnity

If you are a business customer, you indemnify us against claims of third parties, and related costs, arising from your use of the Services in breach of these Terms or of the law.

15. Out of court dispute resolution

Consumers may refer a dispute to the Czech Trade Inspection Authority (Česká obchodní inspekce), coi.gov.cz. The Czech Trade Inspection Authority also supervises compliance with consumer protection law.

16. Governing law and final provisions

These Terms are governed by Czech law. Disputes with business customers are decided by the competent courts of the Czech Republic. If you are a consumer, you also keep the protection of the mandatory rules of the country where you live.

We may update these Terms; changes apply to new orders and, for running subscriptions, from the next billing period after we notify you. If a provision is invalid, the rest remains valid. We may transfer our rights and obligations to another company that takes over the Services; you may transfer yours only with our written consent. If these Terms are translated, the English version prevails.
